I. Introduction & acceptance of Terms

A. Purpose and scope

The Terms of Service (ToS) are designed as a legally binding contract that governs the relationship between Reclub, including its website, mobile application, and all associated services (collectively, "Reclub"), and any individual or entity accessing or utilizing the platform. This agreement meticulously outlines the rights, responsibilities, and obligations of both Reclub and its users. The overarching objective of these terms is to cultivate and maintain a safe, legitimate, and respectful community environment for all participants engaging with Reclub.

B. Acceptance of Terms

Accessing, viewing, registering for, or otherwise using any part of Reclub signifies a user's acknowledgment of having read, understood, and agreed to be bound by these Terms of Reclub, Reclub's Community Standards, and Reclub's Privacy Policy. Should a user not agree to these terms, they are required to refrain from accessing or utilizing Reclub. Continued engagement with Reclub after initial access constitutes unconditional acceptance of the stated terms.

C. Modifications to Terms

Reclub retains the unilateral right to update or modify these Terms of Reclub, the Community Standards, and the Privacy Policy at any time. Continued use of Reclub following the effective date of any such modifications constitutes acceptance of the updated terms. Conversely, if a user does not agree to the revised terms, they must discontinue using the Reclub.

II. User accounts & eligibility

A. Account eligibility & requirements

To establish an account on Reclub and utilize the Reclub, individuals must meet specific criteria. Users are generally required to be at least 18 years old, or the legal age of majority in their respective jurisdiction, whichever is greater, and possess the legal capacity to enter into a binding contract. Accounts must be created by a human; registration by "bots" or other automated methods is strictly prohibited. Furthermore, users are forbidden from creating an account for another person without explicit permission and legal authorization, and individuals should not maintain more than one active account on the platform at any given time, unless for club administrative purposes.

B. Account registration & information

Users are recommended to provide accurate, current, and complete information during the registration process and to ensure their account details remain updated. This includes, but is not limited to, a user's real name and age. Reclub expressly disclaims any liability for errors or omissions in the data provided by users.  This is especially true for users intending to host paid events or engage in financial transactions in Reclub.

C. Account security

Users bear sole responsibility for maintaining the confidentiality and security of their Reclub account login information, including their password. Users are strongly encouraged to use unique, strong passwords and to update them regularly. Sharing account credentials with any third party or permitting another individual to use one's account is strictly prohibited. All activities occurring under a user's account are the sole responsibility of that user.

D. Prohibited account actions

Certain actions related to user accounts are strictly forbidden to preserve the integrity and trustworthiness of the Reclub community. These prohibitions include misrepresenting one's identity, age, or affiliations; creating fake accounts or impersonating any other person or entity; and selling, licensing, purchasing, or otherwise transferring Reclub accounts or any data obtained from Reclub.

III. Payments & financial transactions

A. Fraud Prevention in Payments

Reclub employs a multi-layered approach to identify and prevent potential fraud in financial transactions. This includes sophisticated transaction monitoring, which combines automated and manual screening processes. These processes involve analyzing user behavior, flagging suspicious activity, and leveraging artificial intelligence and machine learning for real-time detection of fraudulent patterns.

A key financial safeguard implemented by Reclub is a payment escrow or hold mechanism. Payments to event hosts are held by Reclub's designated payment platform until the event has successfully concluded, or a specified post-event period has elapsed, as determined by Reclub. This mechanism functions as an independent third party between buyers and sellers, akin to a traditional escrow service, thereby helping to prevent fraud by ensuring service delivery before funds are released.13 This approach transforms Reclub from a simple listing service into a critical intermediary, directly impacting user confidence and significantly reducing the likelihood of payment-related fraud. While this entails increased operational and financial responsibility for Reclub, it is a strategic decision to cultivate a high-trust environment, addressing inherent trust issues in online transactions where payment often precedes service delivery. This positions Reclub as a reliable and secure platform, offering a distinct competitive advantage.

Reclub also implements various financial protections for users, including robust mechanisms for refund management and guarantees for both hosts and guests, as detailed in specific event policies. Users are prohibited from initiating chargebacks or payment reversals without first utilizing Reclub's designated dispute resolution process. Such actions may be considered a violation of these Terms and could result in immediate account suspension or termination.

C. Refunds & cancellations

Unless explicitly stated otherwise or mandated by applicable law, all payments for any subscription services made on Reclub are generally non-refundable. Users can cancel their subscriptions by following the cancellation process of their app store subscription.

Refund policies for specific events are determined by the activity host and must be clearly communicated on the activity listing. Reclub does not play a role in facilitating activity refunds.

IV. User content & intellectual property

A. Types of content

For the purposes of these Terms, content present on Reclub is systematically categorized to ensure clarity regarding ownership and usage rights. "User Content" refers to any material, including but not limited to profile information, messages, event details, images, videos, audio, and other data, that a user uploads, submits, or provides to Reclub. "Member Content" specifically denotes content uploaded or provided by other users of Reclub. "Reclub Content" encompasses all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, and any other intellectual property owned, controlled, or licensed by Reclub, which is made available on Reclub.

B. Content ownership & license

Users retain all ownership rights to their User Content; Reclub asserts no ownership over such content. However, by submitting, posting, or displaying User Content on or through Reclub, users grant Reclub a worldwide, non-exclusive, royalty-free, transferable, sublicensable, and perpetual license. This license permits Reclub to use, host, store, copy, display, reproduce, modify, adapt, publish, distribute, and create derivative works of User Content. This broad grant is necessary for the purposes of operating, developing, providing, promoting, and improving Reclub, and for research and development of new services. The license also includes the right for Reclub to make User Content available to other users of the Reclub.

Users also agree that Reclub possesses the right, though not the obligation, to act on their behalf concerning infringing uses of their User Content by third parties outside of Reclub.

C. Prohibited content

Users are strictly prohibited from posting, uploading, or transmitting any User Content that is unlawful, misleading, fraudulent, or promotes illegal activities. Content that violates Reclub's Community Standards, which are incorporated by reference into these Terms and include specific prohibitions against hate speech, violence, graphic content, and other harmful behaviors, is also forbidden. This prohibition extends to content that infringes upon the intellectual property rights (e.g., copyright, trademark) or privacy rights of any third party. Additionally, content containing viruses, malware, worms, or any other malicious code designed to harm Reclub or other users is prohibited. Commercial activities such as sales, promotions, advertising, or links to other websites are not permitted unless explicitly authorized by Reclub (e.g., for pre- approved activity hosts). Finally, displaying personal contact information (e.g., phone numbers, email addresses) or banking information on public profiles or in public activity listings is strictly forbidden, unless approved by that user.

D. Content moderation

Reclub reserves the right, but assumes no obligation, to monitor, review, remove, or restrict access to any User Content or accounts that, in its sole discretion, violate these Terms of Reclub or the Community Standards. This includes content exchanged within direct messages. This right extends to any content that Reclub deems harmful, inappropriate, or otherwise objectionable. Reclub is not obligated to pre-screen User Content prior to its publication.

V. Prohibited conduct

A. General prohibitions

Users are obligated to comply with all applicable local, national, and international laws and regulations while utilizing Reclub. This includes, but is not limited to, laws pertaining to privacy, intellectual property, and anti-spam measures. Furthermore, users agree not to engage in any conduct that could damage, disrupt, or interfere with the intended operation, security, or integrity of Reclub or its underlying systems.

B. Specific prohibitions

In addition to the general prohibitions, users are specifically forbidden from engaging in certain types of conduct, which also constitute violations of Reclub's Community Standards:

VI. Reporting, enforcement & appeals

A. Reporting Mechanisms

Users bear the responsibility for promptly reporting any content or behavior that violates these Terms of Reclub or the Community Standards. Reclub provides a dedicated reporting system, which is further elaborated in Reclub’s Safety Center (https://reclub.notion.site/Welcome-to-Reclub-s-Safety-Center-24eeeb79ea588005bfb9f5b69cbdb38d), to facilitate the submission of such reports.

B. Enforcement actions

Reclub reserves the right to investigate any suspected violations of these Terms of Reclub or the Community Standards and to take appropriate enforcement actions in its sole discretion. Such actions may include, but are not limited to, issuing warnings to users, imposing temporary suspensions of account privileges, implementing permanent account bans, or removing or restricting access to violating content. It is explicitly stated that no refunds will be issued for any services or funds associated with accounts terminated due to violations of these Terms.

C. Appeals process

Users are provided with an avenue to appeal enforcement decisions made by Reclub through Reclub’s designated feedback channel. While Reclub commits to reviewing all appeals in good faith, it retains the right to deny appeals at its own discretion. The appeal process is intended to provide a review of the initial decision and does not guarantee its reversal.

D. Collaboration with Law Enforcement

Reclub is committed to cooperating with law enforcement agencies in cases of suspected criminal activity occurring on or through the Reclub. This includes, but is not limited to, severe fraud, doxing, threats of violence, and child exploitation. Users are advised to report criminal offenses directly to their local authorities in addition to reporting them to Reclub. Reclub may provide information about user activity to appropriate legal authorities in response to requests, subpoenas, court orders, or similar requests when it is reasonably determined that the disclosure of such information is appropriate, warranted under the circumstances, and permitted by applicable law.

VII. Data privacy & security

A. Data collection & usage

Reclub's practices concerning the collection, usage, storage, and sharing of personal data are comprehensively governed by its Privacy Policy, which is incorporated by reference into these Terms. Users are strongly encouraged to review the Privacy Policy to gain a full understanding of Reclub's data handling practices. The Privacy Policy specifically clarifies how data collected for identity verification purposes is used, stored, and protected, including any specific retention periods or deletion protocols for sensitive biometric data.

B. Data retention

Reclub maintains clear data retention periods for various categories of information, including reported content, user data associated with violations, and identity verification details. These periods are meticulously designed to comply with applicable privacy laws and regulations, such as the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), the Health Insurance Portability and Accountability Act (HIPAA), and the Payment Card Industry Data Security Standard (PCI DSS). Data is retained only for as long as necessary for the purposes for which it was collected, for legal compliance, or for legitimate business needs, and is securely disposed of thereafter. Specific retention periods for sensitive data, such as biometric information collected for identity verification, are detailed within the Privacy Policy.

C. Security Measures

Reclub is committed to implementing and continuously improving technical and organizational security measures to protect user data and the overall integrity of Reclub. These measures include, but are not limited to, data encryption, strict access controls, and automated detection systems for suspicious activities. However, users acknowledge and agree that no online platform or data transmission over the internet can be guaranteed to be 100% secure. Reclub cannot guarantee the absolute security of user data. Users are responsible for implementing appropriate safeguards to protect the security and integrity of their own computer systems and information. This disclaimer is standard practice, managing user expectations by acknowledging inherent online risks while affirming Reclub's commitment to security protocols.

VIII. Disclaimers & limitations of liability

A. "As Is" basis

Reclub, along with all associated content, software, and services, is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Reclub disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or reliability. Users understand and expressly agree that their use of the Reclub is at their sole risk.

B. No guarantees

Reclub does not guarantee, endorse, or warrant the identity, intentions, legitimacy, veracity, or conduct of any user on Reclub. While Reclub implements community standards, it is not responsible for the actions, omissions, or content of any user, whether online or offline. Users interact with other users at their own risk.

C. Limitation of liability

To the fullest extent permitted by applicable law, in no event shall Reclub, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with these Terms or a user's use of Reclub. Reclub's total aggregate liability to any user for any and all claims arising out of or relating to these Terms or the use of the Reclub, regardless of the form of action, shall be limited to the amount the user paid to Reclub in the twelve (12) months preceding the claim, or one hundred U.S. Dollars ($30), whichever is greater. Users release Reclub from any claims or damages arising from interactions with other users, except in cases of Reclub's proven gross negligence or fraud.

IX. Governing law & dispute resolution

A. Governing law

These Terms of Reclub and any disputes arising out of or related to them or the Reclub shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

B. Dispute resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the breach, termination, or validity thereof, shall first be addressed through non-binding mediation. Users agree that any dispute resolution proceedings will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

X. Miscellaneous

This section includes standard boilerplate clauses essential for a complete and legally sound agreement.

A. Entire agreement

These Terms of Reclub, in conjunction with the Community Standards and the Privacy Policy, constitute the entire and exclusive understanding and agreement between Reclub and its users regarding Reclub. These documents supersede all prior oral or written understandings or agreements between Reclub and the user concerning the Reclub.
